1. Acceptance of Terms
By accessing or using 1099protect.com (the “Site”), including submitting any application, contact form, or upload, you agree to these Terms of Service. If you do not agree, do not use the Site.
2. Use of the Site
The Site is intended for licensed insurance agents, brokers, and authorized agency representatives. By using the Site you represent that you are authorized to bind, place, or service insurance on behalf of yourself or your agency.
You agree not to: (a) use the Site for any unlawful purpose; (b) attempt to gain unauthorized access to any portion of the Site, its systems, or other user accounts; (c) interfere with the Site’s operation; (d) upload malicious code; (e) reverse engineer or copy proprietary material; or (f) misrepresent your identity, license status, or authorization.
3. Intellectual Property
All content on the Site — including text, graphics, logos, images, software, and program structures — is the property of Base Agency Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written permission.
Restriction on AI training use. You may not, and may not authorize others to, use any portion of the Site or its content — including but not limited to text, graphics, program structures, rate sheets, agent-training materials, FAQ content, and policy positioning — to train, develop, fine-tune, evaluate, benchmark, or otherwise improve any artificial intelligence model, machine learning system, or large language model, whether directly or via intermediate datasets. This restriction applies to commercial and non-commercial AI training alike. Automated extraction, scraping, or crawling of the Site for AI training purposes is expressly prohibited, regardless of whether such activity is technically blocked by robots.txt, IP filtering, or other technical means.
4. Producer Agreement
If you become an appointed producer through 1099 Protect, your relationship is governed by a separate Producer Agreement that you sign during the appointment process. The Producer Agreement controls in any conflict between these Terms of Service and the Producer Agreement on matters of commissions, appointments, or carrier relationships.
5. Coverage Information
Information on the Site about coverage products is for general informational purposes. Specific terms, conditions, limits, exclusions, and pricing are governed by the actual policy documents and program guidelines. No representation on the Site constitutes a binder or guarantee of coverage.
6. Disclaimer of Warranties
The Site is provided “as is” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.
7. Limitation of Liability
To the maximum extent permitted by law, Base Agency Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site. Our total liability for any claim arising from your use of the Site shall not exceed one hundred dollars ($100.00 USD).
8. Indemnification
You agree to indemnify and hold harmless Base Agency Inc., its affiliates, officers, agents, and employees from any claims, damages, or expenses arising out of: (a) your use of the Site; (b) your violation of these Terms; (c) your misrepresentation of license status or authorization; or (d) your violation of any third-party right.
9. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
10. Governing Law
These Terms are governed by the laws of the State of Wisconsin without regard to its conflict-of-laws provisions. Any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in Dane County, Wisconsin.
11. Changes to Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Effective date” at the top. Continued use of the Site after an update constitutes acceptance of the revised Terms.
